Effective Date: October 14, 2025

Initial Term: This Agreement shall commence on the Effective Date and continue for an initial term of 12 months unless terminated earlier as provided herein.

Renewal: This Agreement may be renewed for additional 12-month terms upon mutual written agreement of both parties.

This Owner-Operator Lease Agreement ("Agreement") is entered into on October 14, 2025, between:

Delta Advanced Trucking, Inc. ("Company"), a transportation company located at 500 Pacific Ave, Dallas, TX 75202

and

Noah Wilson ("Owner-Operator"), an independent contractor with Driver ID DRV-010, located at 110 W Adams St, Chicago, IL 60603, Phone: 582-987-2387

Owner-Operator is an independent contractor and not an employee, agent, joint venturer, or partner of Company. Owner-Operator shall be solely responsible for all taxes, insurance, benefits, and other obligations associated with self-employment.

Owner-Operator shall have the right to control the manner and means of performing the services, subject to Company's dispatch requirements and safety standards.

Owner-Operator agrees to lease the following commercial motor vehicle ("Equipment") to Company:

Owner-Operator shall be responsible for:

• Maintaining Equipment in good working condition and compliance with all DOT regulations
• Providing all routine maintenance, repairs, and inspections
• Maintaining required insurance coverage on Equipment as specified in Section 8
• Keeping Equipment clean and presentable at all times
• Providing fuel for Equipment operation and maintaining fuel receipts
• Complying with all FMCSA regulations and hours of service requirements
• Maintaining proper licensing, certifications, and medical qualifications
• Completing all required paperwork and documentation in a timely manner
• Notifying Company immediately of any Equipment issues or accidents

Company shall be responsible for:

• Providing dispatch services and load assignments
• Handling billing and collections for services rendered
• Providing fuel cards with established credit limits and discounts
• Maintaining cargo insurance coverage for transported goods
• Providing regulatory compliance support and documentation
• Paying weekly lease payments as agreed in Section 6
• Providing settlement statements and support documentation
• Maintaining necessary operating authority and permits

Owner-Operator shall maintain at all times the following minimum insurance coverage:

• Commercial Auto Liability: $1,000,000 Combined Single Limit
• Physical Damage Coverage: Actual cash value of Equipment with $1,000 deductible
• General Liability: $1,000,000 Combined Single Limit
• Workers' Compensation: As required by law or Occupational Accident Coverage
• Cargo Insurance: $100,000 per occurrence, $500,000 in aggregate
• Company named as loss payee and additional insured on all policies
• Certificates of insurance provided to Company upon request

Owner-Operator shall comply with all applicable federal, state, and local laws, regulations, and industry standards, including but not limited to:

• All FMCSA regulations and hours of service requirements
• DOT drug and alcohol testing requirements
• Vehicle inspection and maintenance standards
• Hazardous materials regulations (if applicable)
• Company safety policies and procedures
• Electronic logging device (ELD) requirements and compliance

Owner-Operator shall indemnify and hold Company harmless from any claims, damages, losses, or liabilities arising from Owner-Operator's operation of the Equipment, except to the extent caused by Company's negligence or willful misconduct.

Upon termination of this Agreement, Owner-Operator shall immediately return all Company property, including but not limited to fuel cards, dispatch equipment, and any other items provided by Company.

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral.

This Agreement may only be modified by written agreement signed by both parties.
