Owner-Operator Lease Agreement
Independent Contractor Equipment Lease
1. Effective Date and Initial Term

Effective Date: October 14, 2025

Initial Term: This Agreement shall commence on the Effective Date and continue for an initial term of 12 months unless terminated earlier as provided herein.

Renewal: This Agreement may be renewed for additional 12-month terms upon mutual written agreement of both parties.

2. Parties

This Owner-Operator Lease Agreement ("Agreement") is entered into on October 14, 2025, between:

Delta Advanced Trucking, Inc. ("Company"), a transportation company located at 500 Pacific Ave, Dallas, TX 75202

and

Noah Wilson ("Owner-Operator"), an independent contractor with Driver ID DRV-010, located at 110 W Adams St, Chicago, IL 60603, Phone: 582-987-2387

3. Independent Contractor Status

Owner-Operator is an independent contractor and not an employee, agent, joint venturer, or partner of Company. Owner-Operator shall be solely responsible for all taxes, insurance, benefits, and other obligations associated with self-employment.

Owner-Operator shall have the right to control the manner and means of performing the services, subject to Company's dispatch requirements and safety standards.

4. Equipment Subject to Lease

Owner-Operator agrees to lease the following commercial motor vehicle ("Equipment") to Company:

5. Term and Termination
5.1 Term

This Agreement shall continue for the initial term and any renewal terms unless terminated earlier as provided herein.

5.2 Termination for Convenience

Either party may terminate this Agreement with 30 days written notice to the other party.

5.3 Termination for Cause

Company may terminate immediately for cause, including but not limited to:

  • Breach of safety regulations or DOT compliance
  • Failure to maintain required insurance coverage
  • Equipment damage due to negligence or misuse
  • Violation of drug and alcohol policies
  • Material breach of any provision of this Agreement
  • Revocation or suspension of Owner-Operator's commercial driver's license
6. Compensation and Payment Terms
6.1 Weekly Lease Payment

Company shall pay Owner-Operator a weekly lease payment of $800.00 for use of the Equipment.

6.2 Payment Schedule

Weekly payments shall be made via Weekly Direct Deposit every Friday for the preceding week's services.

6.3 Itemized Settlement Documentation

Company shall provide Owner-Operator with detailed settlement statements showing all revenue, deductions, and lease payments for each pay period.

10. Maintenance and Repairs
10.1 Owner-Operator Responsibilities

Owner-Operator shall be responsible for all routine maintenance and repairs, including:

  • Oil changes and preventive maintenance at recommended intervals
  • Tire replacement, rotation, and repairs
  • Brake service and repairs
  • Engine and transmission repairs and overhauls
  • DOT annual inspections and compliance maintenance
  • All other maintenance and repair costs necessary to keep Equipment in good working order
10.2 Maintenance Records

Owner-Operator shall maintain complete maintenance records and make them available to Company upon request.

11. Fuel, Toll, and Operating Expenses
11.1 Fuel

Owner-Operator shall be responsible for all fuel costs. Company shall provide fuel cards with established credit limits and negotiated discounts.

11.2 Tolls and Fees

Owner-Operator shall be responsible for all tolls, permits, and fees unless otherwise agreed in writing.

11.3 Advances

Company may provide fuel advances and expense advances subject to established policies and repayment terms as specified in the Settlement/Payment Authorization.

Owner-Operator shall comply with all applicable federal, state, and local laws, regulations, and industry standards, including but not limited to:

13. Indemnification

Owner-Operator shall indemnify and hold Company harmless from any claims, damages, losses, or liabilities arising from Owner-Operator's operation of the Equipment, except to the extent caused by Company's negligence or willful misconduct.

14. Return of Company Property

Upon termination of this Agreement, Owner-Operator shall immediately return all Company property, including but not limited to fuel cards, dispatch equipment, and any other items provided by Company.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral.

This Agreement may only be modified by written agreement signed by both parties.
