This Independent Contractor Agreement ("Agreement") is entered into on October 15, 2025, between:

Delta Advanced Trucking, Inc. ("Company"), a transportation company located at 500 Pacific Ave, Dallas, TX 75202

and

Marcus Chen ("Contractor"), an independent contractor with Driver ID DRV-006, located at 500 Pacific Ave, Dallas, TX 75202

Contractor agrees to provide transportation services as an independent truck driver, including but not limited to:

• Transportation of freight and goods as assigned by Company
• Compliance with all applicable transportation regulations
• Maintenance of proper licensing and certifications
• Adherence to Company safety standards and procedures
• Timely delivery of assigned loads

Contractor acknowledges and agrees that:

• Contractor is an independent contractor, not an employee of Company
• Contractor is responsible for all taxes, insurance, and business expenses
• Contractor maintains control over work methods and schedules
• Contractor may work for other clients and companies
• Company does not provide employee benefits or withholdings

Company shall compensate Contractor as follows:

• Per-mile payment rate as specified in separate rate schedule
• Payment for approved accessorials and additional services
• Fuel advances and reimbursement programs as available
• Payment terms: Net 15 days from invoice receipt
• Form 1099 issued for all payments

Contractor shall maintain at all times:

• Commercial auto liability insurance: $1,000,000 CSL
• General liability insurance: $1,000,000 CSL
• Cargo insurance: $100,000 per load
• Workers' compensation or occupational accident coverage
• Company named as additional insured on all policies

Contractor shall provide and maintain:

• Commercial motor vehicle meeting DOT specifications
• All necessary equipment for transportation services
• Regular maintenance and safety inspections
• Compliance with all FMCSA equipment regulations

Contractor shall comply with:

• All federal, state, and local transportation regulations
• FMCSA hours of service requirements
• Company safety policies and procedures
• Drug and alcohol testing requirements
• Medical certification requirements

This Agreement shall commence on October 15, 2025, and continue until terminated by either party with 30 days written notice. Company may terminate immediately for cause, including breach of safety regulations or insurance requirements.
